Welcome to BAOMAILER ("BAOMAILER," "we," "us," or "our"). By accessing or using our website, platform, and services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Services.

1. Services

BAOMAILER provides a managed cold email platform, including email infrastructure, inbox deliverability management, and advisory support. Specific features, limits, and scope are as agreed in your service arrangement with us.

2. Eligibility & Acceptable Use

You must be at least 18 years old and authorized to enter into these Terms on behalf of yourself or your organization. You agree to use the Services only for lawful business outreach and to comply with all applicable laws, including the CAN-SPAM Act, CASL, GDPR, and any other anti-spam, privacy, and data protection laws that apply to you or your recipients.

You agree not to use the Services to: (a) send unlawful, deceptive, harassing, or misleading content; (b) impersonate any person or entity; (c) distribute malware or phishing content; (d) transmit unsolicited messages in violation of applicable law; or (e) interfere with or compromise the integrity or security of the Services.

3. Your Content & Lists

You are solely responsible for the recipients you contact, the accuracy and lawful sourcing of your contact lists, and the content of the messages you send. You represent that you have a lawful basis to contact each recipient.

4. Fees

Fees, if applicable, are as quoted to you in writing. Unless otherwise stated, fees are non-refundable.

5. Intellectual Property

We retain all rights, title, and interest in and to the Services, including all related software, content, and trademarks. You retain ownership of content you submit through the Services, and grant us a limited license to process it to operate the Services on your behalf.

6. Third-Party Services

The Services rely on third-party infrastructure, including Microsoft Azure. We are not responsible for outages or issues caused by third-party providers, though we will use commercially reasonable efforts to maintain service continuity.

7. Disclaimer

The Services are provided "as is" and "as available" without warranties of any kind, express or implied. We do not guarantee specific campaign results, reply rates, or business outcomes.

8. Limitation of Liability

To the maximum extent permitted by law, BAOMAILER will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, arising out of or related to your use of the Services. Our aggregate liability will not exceed the amounts paid by you to us in the three months preceding the event giving rise to the claim.

9. Indemnification

You agree to indemnify and hold harmless BAOMAILER, its affiliates, and its personnel from any claims, damages, losses, and expenses arising from your use of the Services, your content, or your violation of these Terms or applicable law.

10. Termination

We may suspend or terminate your access to the Services at any time for any reason, including violation of these Terms. Upon termination, your right to use the Services will cease immediately.

11. Changes

We may update these Terms from time to time. Continued use of the Services after changes become effective constitutes acceptance of the updated Terms.

12. Governing Law

These Terms are governed by the laws of the jurisdiction in which BAOMAILER operates, without regard to conflict-of-law principles.
